Terms of Service

By accessing and using GY-industries' website, services, or placing any orders with us, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, customers, and others who access or use our manufacturing and OEM/ODM services.

GY-industries provides:

• OEM (Original Equipment Manufacturing) services for drawing boards and LCD writing tablets
• ODM (Original Design Manufacturing) services with custom design capabilities
• Private label manufacturing for toy and educational product brands
• Quality assurance and certification services
• Packaging and logistics support

All services are subject to availability, minimum order quantities, and manufacturing capacity.

You must be at least 18 years old or the age of majority in your jurisdiction to use our services. By using our services, you represent and warrant that:

• You have the legal capacity to enter into binding contracts
• You are authorized to act on behalf of your company or organization
• All information provided is accurate and complete
• You will comply with all applicable laws and regulations

To access certain services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Order Process:

• All orders are subject to acceptance and confirmation by GY-industries
• Minimum order quantities (MOQ) apply to all products
• Custom orders require detailed specifications and may require samples
• Lead times vary based on product complexity and order quantity

Payment Terms:

• Payment terms are typically 30% deposit, 70% before shipment
• Accepted payment methods: T/T, L/C, or as agreed upon
• All prices are subject to change without notice
• Additional costs may apply for custom tooling or molds

Production:

• Manufacturing begins only after deposit payment and final approval
• Production timelines are estimates and may vary due to factors beyond our control
• Changes to approved specifications may result in additional costs and delays
• GY-industries reserves the right to make minor modifications for manufacturing efficiency

Quality Control:

• All products undergo quality inspection before shipment
• Industry standard tolerance levels apply (typically ±5%)
• Customers may arrange third-party inspections at their expense

Customer IP:

• Customers retain ownership of their designs, trademarks, and proprietary information
• GY-industries will not disclose customer designs to third parties
• Customers must ensure their designs do not infringe on third-party rights

GY-industries IP:

• Our manufacturing processes, techniques, and improvements remain our property
• Standard product designs and catalogs are proprietary to GY-industries
• Any improvements or modifications made during manufacturing may become our IP

GY-industries is committed to producing high-quality products that meet safety standards:

• All products comply with relevant safety certifications (CE, FCC, RoHS, CPC)
• Materials used are non-toxic and child-safe
• Regular quality audits are conducted throughout the production process
• Defective products will be replaced or refunded according to our quality guarantee

Warranty Period: 12 months from delivery date for manufacturing defects under normal use conditions.

To the fullest extent permitted by law:

• GY-industries' total liability shall not exceed the value of the specific order
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for delays caused by force majeure events
• Customers are responsible for ensuring products meet their market requirements
• We are not liable for patent or trademark infringement claims related to customer designs

Either party may terminate the business relationship:

• With written notice for convenience (30 days advance notice)
• Immediately for material breach of these terms
• For non-payment or insolvency

Effect of Termination:

• Outstanding orders may be completed or cancelled by mutual agreement
• All payments due become immediately payable
• Confidentiality obligations continue indefinitely

These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms or our business relationship shall be resolved through:

• Good faith negotiation as the first step
• Mediation by a mutually agreed mediator
• Arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules

The arbitration shall be conducted in English and Chinese, with the seat of arbitration in Guangzhou, China.
